Welcome to appellationsthelena.com (the “Website”), operated by Appellation St. Helena (“ASH,” “we,” “us,” or “our”).

These Terms & Conditions (“Terms”) govern your access to and use of the Website, including the ASH member directory, winery profiles, membership services, event registrations, forms, and other features we may provide.

By accessing the Website, creating an account, purchasing a membership, submitting a directory listing, registering for an event, or otherwise using our services, you agree to these Terms. If you do not agree, please do not use the Website.

1. About Appellation St. Helena

Appellation St. Helena supports and promotes the wineries, growers, businesses, and community associated with the St. Helena American Viticultural Area.

The Website provides information about ASH and its members. It may also allow eligible members to manage directory listings, purchase or renew memberships, submit content, register for events, and access member-only resources.

Unless expressly stated otherwise, ASH does not sell, produce, ship, or fulfill wine on behalf of the wineries appearing in the directory.

2. Eligibility and Age

You must be at least 21 years old and legally capable of entering into an agreement to create an account, purchase a membership, or submit information through the Website.

Because the Website includes content relating to wine and alcoholic beverages, certain areas, links, events, products, or services may be intended only for individuals who are at least 21 years old. You may not use the Website to purchase or attempt to purchase alcoholic beverages if you are under the legal drinking age applicable to you.

3. Accounts

Some Website features require an account. You agree to:

• Provide accurate, complete, and current information;
• Keep your login credentials confidential;
• Maintain and promptly update your account information;
• Accept responsibility for activity occurring through your account; and
• Notify ASH promptly if you believe your account has been accessed without authorization.

Accounts are intended for use by the individual or organization for which they were created. You may not impersonate another person or organization, provide misleading information, or allow unauthorized parties to use your account.

ASH may suspend or restrict an account when reasonably necessary to protect the Website, its members, or other users.

4. Memberships

Eligibility for ASH membership is determined by ASH and may depend on factors such as winery operations, vineyard ownership, grape sourcing, production levels, business type, location, or other membership criteria established by ASH.

Membership benefits may vary by membership level and may change from time to time. Current benefits, dues, billing terms, and eligibility requirements will be presented on the applicable membership or checkout page.

Membership is not guaranteed by completing an application or submitting payment. ASH reserves the right to review membership applications, request supporting information, correct an incorrectly selected membership level, and approve or decline membership in accordance with its organizational policies.

Unless ASH expressly authorizes otherwise, each winery membership account may maintain one winery listing. Additional listings may require prior approval.

Memberships may not be transferred to another individual, winery, vineyard, or business without ASH’s written approval.

5. Membership Renewals, Cancellation, and Refunds

Any automatic-renewal terms will be disclosed during checkout. If you enroll in an automatically renewing membership, you authorize ASH and its payment processor to charge the applicable membership fee using your selected payment method at the stated renewal interval until the membership is canceled.

You may cancel future renewals through the available account controls or by contacting ASH. Cancellation prevents future renewal charges but does not ordinarily result in a prorated refund for the current membership period, except where required by law or expressly stated in ASH’s published refund policy.

Membership dues, application fees, event fees, and other payments are nonrefundable unless otherwise stated at the time of purchase or required by law.

ASH may change membership dues or benefits for a future renewal period. When required, we will provide notice before the new price takes effect.

6. Winery and Member Directory Listings

Active, eligible members may be permitted to create or manage a public directory listing. A listing may include business information, photographs, logos, contact details, wines, grape varieties, vineyard information, certifications, tasting experiences, accessibility information, hours, social-media links, reservation links, and other member-provided content.

By creating or updating a listing, you represent that:

• You are authorized to act for the winery, vineyard, business, or organization identified in the listing;
• The information you submit is accurate and not misleading;
• You have the necessary rights and permissions to submit all text, photographs, logos, videos, trademarks, and other materials;
• Your content does not violate another party’s intellectual-property, privacy, publicity, or contractual rights; and
• Your content complies with applicable laws, regulations, and advertising requirements.

ASH may edit formatting, correct obvious errors, request supporting information, reject content, or remove content that is inaccurate, outdated, unlawful, misleading, duplicative, inappropriate, or inconsistent with the purpose of the directory.

ASH is not responsible for independently verifying every statement made in a member listing.

7. Inactive or Terminated Memberships

Certain Website and directory features are available only to members with an active membership.

If a membership expires, is canceled, becomes delinquent, or is otherwise inactive, ASH may restrict the member’s ability to create or edit a directory listing. Following any applicable notice or grace period, ASH may remove the listing from public view or change its status to draft until membership is restored.

Termination or expiration of membership does not automatically require ASH to delete content that it must retain for legal, financial, administrative, archival, or recordkeeping purposes.

8. Content You Submit

You retain ownership of the original content you submit to the Website.

By uploading or submitting content, you grant ASH a nonexclusive, worldwide, royalty-free license to host, store, reproduce, resize, crop, format, display, publish, distribute, and promote that content for purposes connected with:

• Operating the Website and member directory;
• Promoting ASH and its members;
• Publicizing the St. Helena AVA;
• Producing newsletters, directories, event materials, social-media posts, and other ASH communications; and
• Maintaining historical or archival materials.

This license continues while the content appears on the Website or is used in materials already created or published. You may request removal of content you own, although removal may not be possible from previously printed, archived, shared, or distributed materials.

You agree not to submit content that is unlawful, defamatory, threatening, fraudulent, discriminatory, obscene, malicious, infringing, or designed to introduce viruses or harmful code.

9. ASH Content and Intellectual Property

Unless otherwise identified, the Website’s design, branding, text, graphics, organization, and original content are owned by or licensed to ASH and are protected by applicable intellectual-property laws.

You may view, download, or print Website material for personal, informational, or internal business use. You may not reproduce, republish, sell, modify, scrape, systematically extract, or commercially exploit Website content without prior written permission.

The names, logos, labels, photographs, and trademarks appearing in individual listings may belong to the applicable ASH members or other rights holders. Their appearance on the Website does not grant you permission to use them.

10. Copyright Complaints

If you believe content on the Website infringes your copyright, please provide ASH with:

• Your name and contact information;
• Identification of the copyrighted work;
• The URL or a clear description of the allegedly infringing material;
• A statement that you have a good-faith belief that the use is unauthorized;
• A statement that the information in your notice is accurate and that you are authorized to act for the copyright owner; and
• Your physical or electronic signature.

ASH may remove or restrict access to disputed content while a complaint is reviewed.

11. Events

ASH may offer or promote tastings, seminars, meetings, educational programs, and other events. Event-specific terms, refund policies, age restrictions, waivers, or conduct requirements may be provided during registration and will supplement these Terms.

Event schedules, speakers, venues, activities, and availability may change. ASH may cancel or reschedule an event when reasonably necessary.

Participation in events involving wine is limited to individuals who meet the applicable legal drinking-age requirements. Attendees are responsible for drinking responsibly and arranging safe transportation.

12. Third-Party Websites and Services

The Website may link to winery websites, online wine shops, reservation platforms, social-media services, maps, payment processors, event platforms, and other third-party services.

These services are operated independently and are governed by their own terms and privacy practices. ASH does not control and is not responsible for third-party content, availability, pricing, reservations, products, wine shipments, transactions, security, or business practices.

A link or directory listing does not constitute an endorsement, guarantee, or warranty by ASH.

13. Wine, Visitor, and Business Information

Directory information—including tasting hours, reservation requirements, accessibility details, available wines, certifications, amenities, prices, and visitor policies—is supplied by members and may change without notice.

You should confirm important information directly with the applicable winery or business before traveling, making a reservation, or purchasing a product.

ASH does not guarantee that any wine, tasting experience, event, service, certification, or amenity will be available or suitable for a particular purpose.

14. Payments

Payments made through the Website may be processed by independent payment providers. ASH does not directly store complete payment-card information when processing is handled by those providers.

You agree to provide accurate billing information and authorize the applicable charges at the time of purchase. You are responsible for any taxes, fees, chargebacks, or other amounts properly associated with your transaction.

15. Acceptable Use

You may not:

• Use the Website for unlawful, fraudulent, or deceptive purposes;
• Attempt to gain unauthorized access to an account, server, or restricted feature;
• Interfere with the operation or security of the Website;

We may update directory features, membership tools, account requirements, page designs, and other Website functionality as the organization’s needs evolve.

18. Disclaimer of Warranties

To the fullest extent permitted by law, the Website and its content are provided on an “as is” and “as available” basis.

ASH makes no warranties, express or implied, regarding the Website’s accuracy, completeness, reliability, availability, security, merchantability, fitness for a particular purpose, or noninfringement.

Nothing on the Website constitutes legal, financial, medical, agricultural, viticultural, or other professional advice.

19. Limitation of Liability

To the fullest extent permitted by law, ASH and its officers, directors, employees, volunteers, representatives, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to:

• Errors or omissions in a member listing;
• Third-party websites, products, reservations, purchases, or services;
• Unauthorized access to an account;
• Changes to membership benefits or Website features; or

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

20. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless ASH and its officers, directors, employees, volunteers, representatives, and service providers from claims, damages, liabilities, losses, and reasonable expenses arising from:

• Content you submit;
• Your violation of these Terms;
• Your violation of applicable law; or
• Your infringement of another party’s rights.

21. Suspension and Termination

ASH may suspend or terminate access to an account or Website feature if we reasonably believe that the user has violated these Terms, failed to pay applicable fees, provided materially inaccurate information, compromised Website security, or acted in a manner harmful to ASH or its members.

Where appropriate, ASH may provide notice and an opportunity to correct the issue before taking action.

22. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Unless applicable law requires otherwise, any legal action relating to these Terms or the Website will be brought in a state or federal court with jurisdiction in Napa County, California, and the parties consent to that jurisdiction and venue.

23. Changes to These Terms

We may update these Terms periodically. The revised version will be posted on this page with an updated effective date.

Your continued use of the Website after revised Terms become effective constitutes acceptance of those changes. If a change materially affects an active paid membership, we will provide additional notice when required by law.

24. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

25. No Waiver

A failure by ASH to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision later.

These Terms, together with the Privacy Policy, applicable checkout disclosures, event terms, and any other policies expressly incorporated by reference, constitute the agreement between you and ASH concerning use of the Website.
